Terms of Service

The terms that govern your use of ZetrikCloud's VPS, dedicated server, and shared hosting services.

PART I — GENERAL TERMS OF SERVICE
01

Overview

This Terms of Service Agreement ("Agreement") is entered into by and between ZetrikCloud Service Private Limited ("ZetrikCloud") and "You", and is made effective as of the date of electronic acceptance.

This Agreement sets forth the general terms and conditions of your use of ZetrikCloud services ("Services") purchased or accessed through the ZetrikCloud website at https://zetrikcloud.com, and is in addition to (not in lieu of) any specific terms that apply to the particular services you purchase or access.

Your electronic acceptance of this Agreement signifies that you have read, understand, acknowledge, and agree to be bound by this Agreement, along with the following policies incorporated herein by reference:

  • Privacy Policy
  • Acceptable Use Policy
  • Service Level Agreement (SLA)
  • Refund Policy

ZetrikCloud may change or modify this Agreement at any time. Such changes shall be effective immediately upon posting to https://zetrikcloud.com. Your continued use of the Site or Services after such changes constitutes your acceptance.

Eligibility & Authority

This Site and the Services are available only to users who can form legally binding contracts under applicable law. By using this Site, you represent and warrant that you are (i) at least 18 years of age and/or (ii) otherwise recognized as being able to form legally binding contracts under applicable law.

If you are entering into this Agreement on behalf of a corporate entity, you represent and warrant that you have the legal authority to bind such corporate entity to these terms. ZetrikCloud shall not be liable for any loss resulting from reliance on instructions reasonably believed to be from an authorized representative.

Accounts

You represent and warrant that all information submitted when creating your Account is accurate, current, and complete, and that you will keep your account information up to date. ZetrikCloud reserves the right to suspend or terminate your account if information is found to be untrue, inaccurate, or incomplete.

You are solely responsible for all activity on your account. You must notify ZetrikCloud immediately of any breach of security or unauthorized use of your Account.

  • 3.1 Registered Name Holder Obligations: Provide accurate contact details and update them within 7 days of any change, including full name, postal address, email, voice telephone number, and fax number.
  • 3.2 Inaccurate Information: Willful provision of inaccurate information, failure to update within 7 days, or failure to respond to inquiries within 15 days constitutes material breach and grounds for suspension or cancellation.
  • 3.3 Domain Name Licensing: A registered name holder intending to license a domain to a third party remains the Registered Name Holder of record and is responsible for providing accurate technical and administrative contact information.
  • 3.4 Non-Infringement Representation: The Registered Name Holder shall represent that, to the best of their knowledge, neither the registration nor use of the Registered Name infringes the legal rights of any third party.
  • 3.5 Dispute Jurisdiction: For disputes concerning the Registered Name, the Registered Name Holder submits to the jurisdiction of the courts of the Registered Name Holder's domicile and where the Registrar is located.
  • 3.6 Suspension & Cancellation: Registration of the Registered Name is subject to suspension, cancellation, or transfer pursuant to any Specification or Policy, or any registrar or registry procedure.
  • 3.7 Indemnification of Registry: The Registered Name Holder shall indemnify and hold harmless the Registry Operator and its directors, officers, employees, and agents from any claims arising out of the domain name registration.

Rules of Conduct

You agree not to host, display, upload, modify, publish, transmit, update, or share any information that:

  • Belongs to another person to which the user does not have any right, without written consent from the copyright owner
  • Is grossly harmful, harassing, blasphemous, defamatory, obscene, paedophilic, libellous, invasive of another's privacy, hateful, or racially or ethnically objectionable
  • Harms minors in any way
  • Infringes any patent, trademark, copyright, or other proprietary rights
  • Violates any law currently in force
  • Deceives or misleads the addressee about the origin of messages or communicates information which is grossly offensive or menacing in nature
  • Impersonates another person
  • Contains software viruses or any code designed to interrupt, destroy, or limit the functionality of any computer resource
  • Threatens the unity, integrity, defense, security, or sovereignty of India, friendly relations with foreign states, or public order

You further acknowledge that verbal, physical, written, or other abuse of any ZetrikCloud employee or support staff will result in immediate Account termination. No refund will be processed if you violate any of these Rules of Conduct.

Monitoring of Content & Account Termination Policy

ZetrikCloud generally does not pre-screen User Content. However, ZetrikCloud reserves the right to do so and decide whether any item of User Content is appropriate and/or complies with this Agreement. ZetrikCloud may remove any item of User Content and/or terminate a User's access at any time and without prior notice for material posted in violation of this Agreement.

Additional Reservation of Rights

ZetrikCloud expressly reserves the right to deny, cancel, terminate, suspend, lock, or modify access to any Account or Services for any reason, including but not limited to: correcting mistakes made by ZetrikCloud; protecting domain name registry integrity; assisting with fraud and abuse detection; complying with applicable laws; complying with law enforcement requests; or avoiding civil or criminal liability.

ZetrikCloud reserves the right to review every Account for excessive space and bandwidth utilization, and to terminate or apply additional fees to those Accounts that exceed allowed levels. Accounts may also be suspended or terminated due to non-payment of any pending invoices.

No Spam Policy

Sending unsolicited bulk and/or commercial messages over the Internet (known as "spamming") is strictly prohibited. Maintaining an open SMTP relay is prohibited. Spamming can overload ZetrikCloud's network and disrupt service to other subscribers. No refund will be provided for accounts terminated for spam violations.

Service Level Agreement (SLA)

ZetrikCloud aims to achieve 99% Service Availability for all customers. In case of failure to meet the guaranteed level of service, you will be eligible to receive Service Credits. However, no credits will be issued for failures caused by or associated with:

  • Circumstances beyond reasonable control including acts of government, war, insurrection, sabotage, embargo, fire, flood, or labour disturbance
  • Attacks by viruses or hackers, including DDoS attacks
  • Scheduled maintenance and system upgrades, or emergency maintenance
  • Any DNS or Domain Name Registry issues outside ZetrikCloud's direct control
  • Customer's acts or omissions, including custom scripting, negligence, wilful misconduct, or use of the Customer's account in breach of these Terms
  • Issues with third-party email systems or delays in email delivery
  • Outages elsewhere on the Internet that hinder access to your account

Credit requests must include the customer name, username, domain, and date/time of unavailability, and must be received by ZetrikCloud within 30 working days from the time of unavailability. Credits are not refundable and can only be used towards future billing charges.

Retention, Backup Policy & Data Loss

Your use of this service is at your sole risk. Our backup service is provided as a courtesy. ZetrikCloud performs backups of shared servers for administrative purposes only, and these backups are in no way guaranteed. Customers are responsible for maintaining their own backups on personal computers or third-party backup service providers.

ZetrikCloud does not provide any compensation for lost or incomplete data in the event that backups do not function properly. System logs are retained for at least 1 (one) month from the date of creation. You agree that in no case can ZetrikCloud be held responsible for the loss of data in any circumstances.

Disclaimer of Representations and Warranties

YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THIS SITE AND THE SERVICES SHALL BE AT YOUR OWN RISK AND THAT THE SERVICES ARE PROVIDED "AS IS", "AS AVAILABLE", AND "WITH ALL FAULTS". ZETRIKCLOUD SERVICE PRIVATE LIMITED, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, STATUTORY, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

The foregoing disclaimer shall apply to the fullest extent permitted by law, and shall survive any termination or expiration of this Agreement or your use of this Site or the Services.

Limitation of Liability

IN NO EVENT SHALL ZETRIKCLOUD SERVICE PRIVATE LIMITED, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY OTHER PERSON OR ENTITY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING DAMAGES FROM THE ACCURACY OR CONTENT OF THIS SITE, PERSONAL INJURY OR PROPERTY DAMAGE, THIRD-PARTY CONDUCT, UNAUTHORIZED ACCESS TO OUR SERVERS, INTERRUPTION OR CESSATION OF SERVICES, OR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF YOUR USE OF THIS SITE OR THE SERVICES.

IN ADDITION, ZETRIKCLOUD'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE PARTICULAR SERVICES THAT ARE THE SUBJECT OF THE CAUSE OF ACTION. The foregoing limitation shall apply to the fullest extent permitted by law.

Indemnity

You agree to protect, defend, indemnify, and hold harmless ZetrikCloud Service Private Limited and its officers, directors, employees, and agents from and against any and all claims, demands, costs, expenses, losses, liabilities, and damages (including reasonable attorneys' fees) arising directly or indirectly from (i) your use of and access to this Site or the Services; (ii) your violation of any provision of this Agreement; and/or (iii) your violation of any third-party right, including intellectual property or other proprietary rights.

Force Majeure

Either party shall be excused from any delay or failure in performance caused by reason of any occurrence or contingency beyond its reasonable control, including but not limited to acts of God, earthquake, labor disputes and strikes, riots, war, and governmental requirements. The obligations and rights of the excused party shall be extended on a day-to-day basis for the period equal to the underlying cause of the delay.

Fees and Payments

Subscriber agrees to pay all applicable fees in effect at the time of sign-up registration and/or renewal, and to keep all billing information, email, and contact information current.

Automatic Renewal of Account: As a courtesy, 15 days prior to the expiration of Subscriber's Account, ZetrikCloud will automatically renew the Account for the same duration at the then-current, non-promotional rate.

Automatic Renewal of Domain(s): As a courtesy, 15 days prior to the expiration of Subscriber's domain, ZetrikCloud will automatically renew the domain. The obligation to renew Domains is solely and exclusively the responsibility of the Subscriber.

16.1 Refund and Cancellation Policy

30-Day Money Back Policy: We provide a 30-day money back guarantee for our services. The following payment methods are non-refundable: Bank Wire Transfers, Western Union Payments, and Checks/Money Orders.

To qualify for a refund:

  • There are no refunds on domain registration, domain-related services, third-party products, administrative fees, and installation fees
  • Only first-time accounts are eligible for a refund
  • The request must be made within the specified refund period
  • No refund will be made if your Service(s) are suspended or terminated
  • Refund requests after 30 days cannot be processed
  • No Refund is applicable on monthly plans purchased

Non-Refundable Services: Domain registrations and renewals, Google Workspace services, control panel licenses, and all other third-party services and products.

Product-Specific Refund Terms: Shared Hosting — refundable within 30 days. VPS Hosting — refundable within 7 days. Dedicated Servers — refundable within 7 days. Cloud Hosting — refundable within 7 days.

No Third-Party Beneficiaries

Nothing in this Agreement shall be deemed to confer any third-party rights or benefits.

Compliance with Local Laws

ZetrikCloud makes no representation or warranty that the content available on this Site is appropriate in every country or jurisdiction. Access from countries or jurisdictions where its content is illegal is prohibited. Users are responsible for compliance with all local laws, rules, and regulations.

Governing Law

Customer agrees to use the service in compliance with applicable law and this Agreement. The Terms of Agreement and the relationship between you and ZetrikCloud shall be governed by the laws of India. The Courts of law at the applicable jurisdiction in India shall have exclusive jurisdiction over any disputes arising under this Agreement.

Titles, Headings & Severability

The titles and headings of this Agreement are for convenience only and shall not be used to construe or interpret the agreement of the parties. Each covenant and agreement in this Agreement shall be construed as a separate and independent covenant. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Domain Renewal

Domain renewal notices are provided as a courtesy reminder. ZetrikCloud is not responsible for failure to renew a domain or failure to notify a customer about a domain's renewal. It is the client's responsibility to verify the domain renewal is successful. If there is any issue, the client should contact ZetrikCloud within 7 working days by raising a ticket at 9999123456.

ZetrikCloud accepts no liability for the loss of any domain that failed to renew due to an invalid email address, late payments, or technical faults beyond our control.

Domain Registration

It is the client's responsibility to verify the domain registration is successful. Under unfortunate circumstances, domain registration may not happen due to software error, network error, or other technical reasons. If there is any issue, the client should contact ZetrikCloud within 7 working days.

ZetrikCloud accepts no liability for the loss of any domain that failed to register due to invalid/insufficient information, late payments, or technical faults beyond our control.

Grievance Officer

ZetrikCloud Service Private Limited shall address any grievances of users in a time-bound manner. For this purpose, ZetrikCloud has designated a Grievance Officer in terms of the Information Technology Act 2000.

Electronic Communications / Notices

When you visit the Site or send emails to us, you are communicating with us electronically. You consent to receive communications from us electronically. You agree that all agreements, notices, disclosures, and other communications provided to you electronically satisfy any legal requirement that such communications be in writing.

All official and legal communications with ZetrikCloud Service Private Limited must be done in the English language only. Any correspondence received in any other language will not be permissible.

Your Responsibilities

It is your responsibility to comply with applicable law and obligations for the services used. You are responsible for the security of your website, content, images, files, and anything stored on the server under your account, as well as for maintaining a backup of your content and immediately removing malware, viruses, and malicious files.

ZetrikCloud is not responsible for any issues that occur due to malware or hacking even under managed support.

Pricing Policy

ZetrikCloud reserves the right to change prices and to increase or decrease the amount of resources given to plans at any time, with or without notice. All ZetrikCloud accounts may have licenses provided by an independent Third Party Services Vendor ("TPSV"). Any price change done by the TPSV may be applicable to the customer at any time during the active service period. ZetrikCloud is not responsible for transactions, agreements, and/or disputes between the Customer and the TPSV.

Administrative Access

ZetrikCloud reserves the right to reset the password on a server/website if the password on file is not current, so that we may perform security audits or corrections as required by our data center or other authorities. ZetrikCloud reserves the right to audit servers as needed and to perform administrative actions as necessary. In some critical conditions, ZetrikCloud will access, modify, or perform the necessary action on your website or server to ensure service continuity and security.

VPN (Virtual Private Network) Prohibition

In the wake of increased regulations against the use of VPNs, use of our servers/services for VPN (Virtual Private Network) purposes is strictly prohibited. ZetrikCloud reserves the right to take necessary action in the form of suspension or termination of accounts/servers without refund if customers are found using purchased plans for creating VPNs.

Cloud/Backup Storage

It is the customer's primary responsibility to take backup of cloud or backup storage products offered by ZetrikCloud. Cloud/backup storage products are offered without any backup guarantee and do not support recovery of data in case of unforeseen events. Backup services are offered at an additional cost if opted by the customer. In the absence of this add-on in the customer's purchase plan, backup storage will not be available.

Marketing / Reference

The customer grants ZetrikCloud a limited license to use any customer trade name and trademark for the limited purpose of referring to the customer's name in ZetrikCloud's marketing material and on ZetrikCloud's website, and also to use case studies conducted on behalf of or for the customer.

Other General Provisions

  • Your account and data will not be available on failure to renew the service on time. The system will automatically delete your data if you fail to renew on time.
  • Domain registration is subject to availability of the domain name at the time of registration.
  • ZetrikCloud cannot be held responsible for any failure of a domain or website transfer from other service providers.
  • ZetrikCloud provides dedicated servers based on virtualized environments such as VMware or KVM to provide quality service and better uptime.
  • All suspended accounts including reseller's accounts/websites will be terminated. It is the responsibility of resellers or clients to take backup before suspending.
  • KYC/Mobile Verification: ZetrikCloud reserves the right to suspend your website if KYC or mobile number verification is pending for more than 24 hours. As per the Indian registry mandate, it is mandatory for customers to complete the KYC process.

GSTIN Accuracy & Tax Invoice Policy

Your GSTIN details must be accurate to ensure correct tax invoices and e-invoices. Customers are responsible for providing the correct GSTIN, company name, address, state, and state code. Customers must ensure accurate information is shared at the time of order placement and before the Tax invoice is generated.

ZetrikCloud Service Private Limited processes invoices automatically and cannot manually correct errors. No credit notes will be issued after monthly GST filing. Update and verify your GSTIN through your Customer Account at https://zetrikcloud.com.

PART II — CLOUD SERVICES TERMS & CONDITIONS

Definitions

In these Terms, the following words and expressions shall have the following meanings:

  • Affiliates: Any entity which Controls or is directly or indirectly Controlled by, or under common Control with, such Person.
  • Applicable Laws: Any rule of law, statute, bye-law, ruling or regulation having the force of law; any code of practice, rules, consent, license, requirement, permit or order; any notification, circular, or guidelines issued by a regulatory authority.
  • Charges: The amount payable by you for the Services, computed on the basis of time-based rate or usage-based rate as applicable for the particular service.
  • Claims: All actions, suits, proceedings or arbitrations pending or threatened, at law, in equity, or before any Government Authority or competent tribunal or court.
  • Confidential Information: The Intellectual Property and any and all business, technical and financial information disclosed by ZetrikCloud to you, including trade secrets, business plans, and customer contract terms.
  • Control: The possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of such Person, or possession of a voting interest of more than 50%.
  • Customer Data: All data, including text, sound, software, image or video files, and all derivatives thereof created by or originated with you or your End Users. You retain ownership of all such Customer Data.
  • De-provisioning of Services: Termination of the Services, release and reallocation of all resources allocated to the Customer, and deletion of Customer Data stored on our servers.
  • End User: Any individual or entity that directly or indirectly accesses or uses the Services under the Customer Account.
  • Force Majeure Event: Significant failure of the power grid or internet, natural disaster, war, riot, insurrection, epidemic, pandemic, fire, strikes, terrorist activity, acts of Government Authority, or other events beyond the control of any party.
  • Inactive Customer: A customer who has not consumed or utilised any Services in the preceding 90 days. If a customer only has free credits and has not consumed any services in the preceding 60 days, they will be considered an Inactive Customer.
  • Intellectual Property (IP): Patents, trademarks, service marks, trade names, registered designs, copyrights, rights of privacy and publicity, know-how, inventions, formulae, confidential or secret processes, and trade secrets.
  • Malware: Any malicious computer code such as viruses, logic bombs, worms, trojan horses, or any other code or instructions infecting or affecting any program, software, client data, files, databases, computers, or equipment.
  • Managed Services: Professional services for additional payment by ZetrikCloud to enable management of cloud computing infrastructure. Unless specifically stated, Services shall be deemed "Self-Managed Services" and not "Managed Services".

Use of the Services

  • 2.1 Compliance with Company Policies: By availing the Services, you are required to comply with these Terms and all other operating rules, policies, and procedures published from time to time on the Website, including the Privacy Policy, SLA, and Refund Policy.
  • 2.2 Registration Information: When you register for our Services, you may be required to provide information such as your name, email address, and a valid form of payment. Collection and use of such information is subject to our Privacy Policy.
  • 2.3 Updates to Services: We may make commercially reasonable updates to the Services and the Company Policies from time to time.
  • 2.4 Right to Refuse: We may, in our sole discretion, refuse to provide or continue providing the Website and Services to you at any time, for any reason, including but not limited to your failure to comply with these Terms.

Representations and Warranties

Our Representations: We are duly organised and validly exist under the Applicable Laws and have all requisite legal power and authority to provide the Services. We are not insolvent and no insolvency proceedings have been instituted.

Your Representations: You represent and warrant that you are duly organised and validly exist under the Applicable Laws; that you are not insolvent; that you have complied with Applicable Law in all material respects; that all information disclosed by you has been truthfully disclosed; and that you are 18 years of age or older.

Your Obligations

  • 4.1 Customer Account Security: You are responsible to monitor the activities under your Customer Account, regardless of whether authorized by you or your employees or a Third Party. You should ensure strong passwords and access control mechanisms to protect Customer Data. Notify ZetrikCloud immediately of any unauthorized use or breach of security.
  • 4.2 Backup of Customer Data: You should take appropriate action to secure, protect, and backup all Customer Data. ZetrikCloud shall not be under any obligation to maintain copies or backups of Customer Data. Even if availing backup services from ZetrikCloud, you shall remain responsible for ensuring adequate backup.
  • 4.3 Use of Licensed Software: All software provided with the Services is provided by Third Parties under an End-User License Agreement (EULA). You shall always use the licensed version of the software and shall not use any pirated software in availing the Services.

Seizure of Data and Hardware

You agree that in case of any seizure of hardware provided by ZetrikCloud to you for storage of any data or information, by any Government Authority, you shall be liable to pay without any protest: (i) the cost of providing such data or information to the Government Authority, and (ii) the cost of server or equipment seized. You agree that ZetrikCloud will not be liable to backup or copy Customer Data stored on ZetrikCloud's server on account of such seizure.

Regulation of Use of Services

8.1 Customer Data: ZetrikCloud exercises no control over the Customer Data. You represent and warrant that you have the right to transmit, receive, store, or host all Customer Data using the Services. It is your sole responsibility to ensure compliance with Applicable Law.

8.2 Prohibited Activities: You will not engage in, nor permit any Person including End Users to engage in, the following:

  • Send unsolicited commercial messages (SPAM) in any form
  • Engage in activities likely to breach any laws, codes, contractual obligations, or regulations
  • Engage in any activity that would violate the personal privacy rights of others
  • Send, post, or host harassing, abusive, libellous, obscene, or otherwise objectionable materials
  • Use Services for any illegal purpose, in violation of Applicable Law
  • Use the Services to publish, share, copy, store, backup, or distribute material that contains Malware
  • Assign, sublicense, rent, timeshare, loan, lease, or otherwise transfer the Services to any unauthorised Person
  • Reverse engineer or decompile, except as expressly permitted by Applicable Law
  • Attempt to probe, scan, or test the vulnerability of the Services or breach security or authentication measures without proper authorization
  • Access or use the Services in a way intended to avoid incurring fees or exceeding usage limits or quotas

Suspension of Services

ZetrikCloud may, in its sole discretion, suspend the Services, in whole or in part, without liability if: (i) you fail to pay the fees by the due date; (ii) you are an Infra Credit Prepaid Customer and run out of infra credits; (iii) you or your End User is in violation of these Terms; (iv) you fail to reasonably cooperate with our investigation of suspected breaches; or (v) we are obligated to suspend Services pursuant to a court order or Applicable Law.

You will remain responsible for all fees and charges incurred until the date of De-Provisioning of Services, irrespective of whether or not you have used the Services or whether the servers were in a suspended state.

Indemnification (Cloud Services)

You shall defend, indemnify, and hold harmless the Indemnified Parties from and against any and all Claims and/or Losses arising out of or relating to: (i) breach of these Terms by you, your representatives, or End Users; (ii) violation of the Company Policies or Applicable Law; (iii) non-payment of applicable taxes including GST, TDS, or any other taxes levied by any Government Authority; (iv) breach of security measures by you; or (v) alleged infringement of Third-Party Intellectual Property Rights by the Customer Data.

Termination of Cloud Services

To terminate/de-provision our Services, write to us at support@zetrikcloud.com or contact us via https://zetrikcloud.com, or access your Customer Account.

ZetrikCloud shall have the right to terminate your access to the Services at any time, without notice, if we are of the opinion that you have used the Services: (a) fraudulently, unlawfully, or abusively; (b) in breach of Applicable Laws; (c) in material breach of these Terms; or (d) in a way that poses risk to ZetrikCloud, our Services, our resources, or other ZetrikCloud customers.

Effects of Termination: On termination, we will remove all of your electronically stored data from our facilities, including all Customer Data and backups. You shall remain responsible for all fees and charges till the date of de-provisioning. You should immediately return or destroy all Confidential Information pertaining to ZetrikCloud in your possession.

Consideration / Billing Terms

Payment Methods: All payments shall be made by direct transfer (NEFT/RTGS), cheque, or demand draft drawn in favour of 'ZetrikCloud Service Private Limited' payable at New Delhi. Online payment via net banking, credit card, debit card, standing instructions, or autopay is also available.

All invoices are due and payable as per the due dates mentioned in the invoice. You will be liable to pay interest at the rate of 1.5% per month on all overdue and unpaid invoices, commencing from the due date until the date of actual receipt of payment.

TDS Requirements: If any amount is withheld pursuant to any statutory requirement, you should remit such amount to the appropriate Government Authorities and promptly furnish documentary evidence to ZetrikCloud. TDS certificates are required to be uploaded for every quarter to finance@zetrikcloud.com.

GST: All fees payable are exclusive of goods and services tax ("GST"). GST and/or other applicable taxes will be charged and you will be required to pay such amounts in addition to all payments.

Confidentiality

You should safeguard and keep confidential ZetrikCloud's Confidential Information using measures equal to the standard of care used by you to safeguard your own Confidential Information of comparable value, but in no event less than reasonable care. You should not use our Confidential Information for any purpose except to implement your rights and obligations under these Terms.

Security and Disclosure of Customer Data

You will be solely responsible to patch your systems regularly with security updates, maintain highest levels of input sanitation on your web applications, and keep any protected data encrypted. ZetrikCloud will, on a best-efforts basis, implement reasonable and appropriate measures designed to help you secure your Customer Data.

ZetrikCloud is not responsible or liable to make available data lost due to hardware failure or any other reason. Our responsibility is limited to providing you with an equivalent replacement compute node as soon as possible.

Free Trial Terms

The terms of these Terms shall govern the free trial facility. ZetrikCloud shall have the discretion to grant a free trial facility to any potential customer, and the period for which the free trial facility is granted shall be at our discretion. ZetrikCloud reserves the right, in its absolute discretion, to cancel or modify the free trial facility at any time without prior notice.

Maintenance and Support

ZetrikCloud shall have the right to conduct routine scheduled maintenance or emergency maintenance of its electrical, software, or hardware infrastructure. In the event that a mission critical maintenance situation arises, ZetrikCloud may perform emergency maintenance at any time without prior intimation.

Proprietary Rights

ZetrikCloud or its licensors own all rights, title, and interest in and to the Services and underlying software, and all related technology and intellectual property rights. Subject to these Terms, ZetrikCloud grants you a limited, revocable, non-exclusive, non-sublicensable, non-transferrable license to access and use the Services.

If you choose to provide input and suggestions regarding problems with or proposed modifications or improvements to the Website and Services ("Feedback"), you hereby grant to ZetrikCloud an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to exploit the Feedback in any manner and for any purpose.

Miscellaneous

  • Entire Agreement: These Terms, together with Company Policies and any other documents expressly referred to herein, constitute the entire understanding between the parties with respect to the subject matter hereof.
  • Force Majeure: ZetrikCloud will not be responsible for delays or damages due to any Force Majeure Event and will be entitled to discontinue the Services with immediate effect if we are unable to continue providing the Services.
  • Email Communication: Any notices, agreements, disclosures, or other communications sent electronically will satisfy any legal communication requirements, including that those communications be in writing.
  • Relationship of Parties: The parties are independent contractors. These Terms do not create a partnership, franchise, joint venture, agency, fiduciary, or employment relationship between the parties.
  • Assignment: You may not assign, transfer, or delegate any of your rights and obligations under these Terms without our prior written consent. ZetrikCloud may assign, transfer, or delegate its rights and obligations without notice or consent.
  • Non-Solicitation: You shall not, directly or indirectly, solicit ZetrikCloud's employees during the period you are using the Services and for 2 (two) years after the termination of Services.
  • Governing Law: These Terms shall be governed in accordance with the Applicable Laws of India. The courts at New Delhi shall have exclusive jurisdiction over any disputes arising out of or in relation to these Terms.
  • Dispute Resolution: Any dispute arising under these Terms shall be resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996. The dispute shall be settled by a sole arbitrator appointed by the parties. The seat of arbitration shall be New Delhi, India. The arbitration award shall be final and binding on the parties.
